Terms of Service

These Terms of Service govern your use of the ClawEX platform. This is an initial draft authored by the engineering team; legal review is planned before the first enterprise contract.

1. Acceptance of terms

By accessing or using ClawEX (the "Service", the "Platform") you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent you have legal authority to bind the organization to these Terms.

2. Description of the service

ClawEX is an AI app-building platform operated from Israel by Dror (sole proprietor). The Service includes:

  • Platform — user accounts, build engine, composer, visual editor, auto-admin panel, Brain memory system, pricing engine.
  • Build engine — Claude AI generates HTML/CSS/JS/React from natural-language requests; the library adapts past builds; the pricing engine displays live cost.
  • Hosting tier (PREORDER) — pod-per-project for stateful apps (LIVE when orchestration ships). Free tier uses Cloudflare R2 (static) at no cost.

3. Account requirements

To use the Service:

  • Minimum age 16 — the Service is not directed at minors under 16. If we discover an under-16 user, the account will be deleted.
  • Accurate information — you agree to provide truthful, current, and complete information at registration and to keep it updated.
  • One account per person — creating multiple accounts for the same person, trading accounts, or transferring an account to a third party without our written consent is prohibited.
  • Account security — you are responsible for safeguarding your credentials. Notify us immediately if you suspect unauthorized access.

4. User content

4.1 — Ownership. You own the prompts you submit and the code generated for you. ClawEX does not claim ownership of user content.

4.2 — License to ClawEX. You grant ClawEX a non-exclusive, royalty-free, worldwide, transferable license to host, process, transmit, and display your content for the purpose of operating the Service, backups, and AI optimization. The license terminates on deletion of your content or account, subject to lawful audit-retention obligations.

4.3 — Generated code. Code that ClawEX generates for you is treated as the output of a software tool ("tool" doctrine), and is owned by you under Israeli law and clause 4.1.

5. Acceptable use

Use is subject to our Acceptable Use Policy (AUP). In short, prohibited: illegal content, malware, phishing, spam, copyright infringement, harassment, hate speech, child sexual abuse material (zero tolerance), unauthorized scanning of others, cryptocurrency mining on the Hosting tier, Tor exit nodes, high-volume unauthorized scraping.

5A. Site reconstruction and cloning

5A.1 — Permitted use. ClawEX can rebuild a website in the style and structure of a reference URL you provide, producing an original design inspired by its layout — not a copy of its content or branding. You may use this only where you have a legal right to draw on the reference design: it is your own site, an open/template design, or an independent reimplementation you are entitled to make. You confirm this right before each reconstruction (the ownership self-declaration).

5A.2 — Prohibited. You may not use Site reconstruction to clone sites for phishing, impersonation, or fraud — including copying login, banking, or payment pages to harvest credentials — nor to reproduce another entity's trademarks, logos, brand names, or copyrighted content without authorization.

5A.3 — Safeguards. ClawEX blocks reconstruction of known financial, payment, and authentication pages and of any page containing a password field, and instructs the build model to produce original copy and to avoid reproducing detected third-party branding.

5A.4 — Enforcement. ClawEX may review, refuse, rate-limit, or suspend accounts that use Site reconstruction in violation of this section or the Acceptable Use Policy.

5A.5 — Screenshot app reconstruction. ClawEX can also rebuild an app in the interaction-design pattern of reference screenshots you upload, producing an original mobile-first responsive web app (not a native binary). This is pure image analysis — no network interception, no credential capture, no certificate-pinning bypass, and no connection to the reference app's servers. The same ownership self-declaration and safeguards apply, and screenshots that appear to show a banking/payment app or a credential login screen are blocked.

6. Payments and billing

6.1 — Payment method. ClawEX accepts payment only via PayPal. Stripe is not available in Israel (decision of record: docs/DECISIONS.md#paypal-only). PayPal handles all card details; we never see card numbers.

6.2 — Billing cycles. Hosting plans are prepaid monthly or annual. Build credits are prepaid one-time, do not expire on the Free tier, expire after 12 months on credit packs.

6.3 — 14-day cooling-off period. Under Israel's Consumer Protection Law 5741-1981, a consumer may cancel a transaction within 14 days from receipt of the service if it has not been activated. For the Hosting tier (immediate activation), the cancellation right is limited per the law's exceptions.

6A. Affiliate program

6A.1 — Commission basis. If you refer new users with your affiliate link, you earn 30% of ClawEX's profit on the payments those users make — where profit means the price paid minus ClawEX's direct cost to deliver the build. This is not 30% of the gross price. The commission is calculated automatically for each qualifying transaction.

6A.2 — Lifetime of the referred account. Commission continues for the entire lifetime of the referred customer's account — for as long as that account stays an active, paying ClawEX user. "Lifetime" is tied to the referred account itself, not to any fixed calendar period: there is no month or year cut-off, and equally there is no commission for periods when the referred account is inactive or not paying.

6A.3 — Refunds, disputes and chargebacks. If a referred payment is later refunded, disputed, or charged back, any commission credited or paid for that transaction is reversed and clawed back from your affiliate balance. If it was already paid out to you, it is netted against your future earnings.

6A.4 — Prohibited conduct. The following are not allowed: referring your own accounts (directly, or through a proxy or a second account); generating fraudulent, fake, or automated referrals; and advertising the program in a false or misleading way. A violation forfeits any unpaid commission and may lead to termination of your account.

6A.5 — Payouts. Commissions are calculated and credited automatically. Payouts are made via PayPal once your balance reaches the $50 minimum threshold. A small payment-processing fee may apply.

6A.6 — Changes to the program. ClawEX may modify commission rates, change the terms, or discontinue the affiliate program at any time. For material changes affecting active affiliates we will give reasonable notice (at least 30 days). Changes apply going forward only — they never reduce commission you have already earned or been paid.

6A.7 — No guarantee of earnings. The affiliate program is a revenue-sharing opportunity — it is not employment and not a guaranteed income. ClawEX makes no promise about referral volume, conversion, or the amount you will earn.

7. Intellectual property

7.1 — ClawEX IP. All rights in the Platform — platform code, build-engine architecture, pricing algorithms, template library, the "ClawEX" and "ClawEX.chat" trademarks, UI/UX, documentation — belong to ClawEX (Dror) and are protected by copyright, trade-secret, and contractual rights.

7.2 — Your IP. Content you submit and code we generate for you belong to you (Section 4).

7.3 — Feedback. Feedback you send us (feature requests, bug reports, ideas) — we may use it without compensation, attribution, or restriction.

8. AI output disclaimer

ClawEX uses Claude (Anthropic) and other models. AI outputs may be wrong, incomplete, outdated, or fabricated ("hallucinations"). You are responsible for review, validation, and proper use of output. Do not rely on AI output for medical, legal, financial, or safety decisions without independent expert verification.

8a. API keys & credentials

If your build uses an external service (Stripe, Firebase, Google Maps, etc.), you are responsible for securing any API keys or credentials you add. Never place a secret key in client-side code — a generated page is public. Add secret keys in a secure backend environment. ClawEX is not liable for the exposure or misuse of any credential you embed in a build.

9. Service availability

Free tier — best-effort, no SLA. Downtime, scheduled maintenance, and temporary data loss are possible. You should keep your own backups.

Hosting tiers — a detailed SLA will be published at launch (PREORDER until then).

We may suspend features, change targets, or shut down the Service with appropriate notice (typically 30 days for paid tiers, immediate for the Free tier at our discretion).

10. Termination

10.1 — Termination by you. You may close your account at any time from account settings — one click, with a 30-day cancellation window plus an immediate-deletion option. Data is deleted within 30 days of the request (excluding audit and payment records, which are retained for 7 years per legal obligation).

10.2 — Termination by ClawEX. We may suspend or terminate your account:

  • Immediately — for AUP violations, illegal activity, or security risk.
  • After notice (typically 14 days) — for other curable breach of terms.
  • After 30-day notice — if we discontinue operating the Service.
  • 10.3 — Survival. Sections on IP (7), liability cap (11), indemnification (12), and dispute resolution (13) survive contract termination.

11. Limitation of liability

11.1 — "As is". The Service is provided "as is" and "as available". ClawEX does not warrant the Service will be error-free, uninterrupted, or meet your specific requirements.

11.2 — Liability cap. To the maximum extent permitted by law, ClawEX's total liability to you from any source — contractual, tortious, or otherwise — is limited to the amount you paid ClawEX in the 3 months preceding the claim. ClawEX is not liable for indirect, incidental, special, consequential, or punitive damages.

11.3 — Carve-outs. This section does not limit mandatory rights under Israeli consumer law or GDPR (data-subject rights), and does not limit liability for damages caused by intentional misconduct or gross negligence by ClawEX.

12. Indemnification

You agree to indemnify, defend, and hold harmless ClawEX, its officers, employees, and contractors from any claim, damage, liability, cost, and expense (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms or applicable law;
  • Your content infringing third-party rights (copyright, privacy, trademark);
  • Your activity in apps you build and operate (you are the controller; ClawEX is the processor);
  • Any false statement you make to ClawEX.

13. Dispute resolution

13.1 — Governing law. These Terms are governed by Israeli law without giving effect to its conflict-of-laws rules.

13.2 — Forum. Exclusive jurisdiction over any dispute lies with the Tel Aviv-Yafo District Court. This section does not deprive consumers of mandatory protections under their local law.

13.3 — Mediation. Before initiating litigation, the parties shall attempt to resolve the dispute through mediation (mandatory to attempt, not to settle).

14. Changes to these terms

We may update the Terms from time to time. Material changes get 30 days advance notice by email and an in-app banner. Continued use of the Service after the effective date constitutes consent to the new Terms. If you disagree, you may close your account before the effective date.
